End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you ("you") and [FILL-IN: legal entity name] ("Becki", "we", "us") for your use of the Becki desktop application for macOS, including any updates, bundled components, and accompanying documentation (the "Software"). By installing, downloading, or using the Software, you accept this EULA. If you do not accept, do not install or use the Software. This EULA is in addition to the Becki Terms of Service.

1. License grant

Subject to your compliance with this EULA, the Terms of Service, the Acceptable Use Policy, and the Privacy Policy, Becki grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on Apple-branded computers that you own or control, solely for your personal or internal business use, and solely in object-code form.

2. License restrictions

You may not, and may not permit any third party to:

Copy the Software except as necessary to install and use it on a permitted device, or to make a single backup copy.
Modify, adapt, translate, or create derivative works of the Software.
Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction.
Rent, lease, lend, sell, redistribute, sublicense, or commercially distribute the Software or any of its components.
Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on or in the Software.
Use the Software in violation of any applicable law or in a manner that would expose Becki to legal liability.
Use the Software to develop a competing product, or to extract or harvest data from the Service through automated means beyond ordinary use of the published interfaces.

3. Ownership

The Software is licensed, not sold. Becki and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than the limited license expressly set forth in Section 1.

4. Updates

Becki may, at its discretion, provide updates, upgrades, patches, bug fixes, and new releases of the Software. Updates may add, modify, or remove features. The Software's auto-update mechanism may install updates automatically or with your consent depending on app settings. Any update provided to you is part of the "Software" and is governed by this EULA, unless explicitly accompanied by a separate license.

5. Third-party components

The Software incorporates open-source and third-party components, each licensed under its own terms. A non-exhaustive list includes:

WhisperX / OpenAI Whisper (MIT / BSD-style) — local speech-to-text.
pyannote.audio (MIT) — speaker diarization.
Sparkle (MIT) — auto-update framework.
GRDB.swift (MIT) — SQLite Swift wrapper.
supabase-swift (MIT) — Supabase client SDK.
Anthropic SDKs — for Claude API access.
Various Python and Swift dependencies bundled with the WhisperX runtime.

The complete list of open-source components and their licenses is available within the application (Settings → About → Acknowledgments) or by request to legal@becki.io. Each component's license terms govern your use of that component, and to the extent any open-source license conflicts with this EULA, that open-source license controls with respect to that component.

6. Bundled AI runtime

The Software includes a bundled WhisperX-based speech-to-text runtime that runs locally on your Mac. This runtime processes audio and produces transcripts entirely on your device — audio does not leave your machine. The runtime is provided "as-is" under the terms of its respective open-source licenses.

7. Permission requirements

The Software requests certain macOS permissions to function:

Microphone — to capture meeting audio for local transcription.
System Audio Recording / Screen Recording — to capture audio from other applications (Zoom, Meet, FaceTime, browsers) via Apple's Core Audio Process Tap. The Software does not record your screen contents; the Screen Recording permission is required by macOS for the audio-tap API on certain system versions.
Calendar (EventKit) — optional; for scheduled-meeting detection and prep context.
Network access — to communicate with Becki's cloud services and the AI providers configured in Settings.

You may grant or revoke these permissions at any time in System Settings → Privacy & Security. Revoking a permission may disable the corresponding feature.

8. Data and content

The Software's handling of your data is governed by the Privacy Policy. The high-level summary: meeting audio, verbatim transcripts, AI-generated summaries, your meeting notes, and other meeting participants' contact information stay on your device. Only structured cross-tool memory (decisions, commitments, dead-ends, open-loops) syncs to Becki's servers, scoped to your account.

9. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE. AI-GENERATED OUTPUTS MAY BE INACCURATE OR HALLUCINATED — DO NOT RELY ON THEM FOR CONSEQUENTIAL DECISIONS WITHOUT INDEPENDENT VERIFICATION.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BECKI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. BECKI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO BECKI IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Termination

This EULA is effective until terminated. Your rights under this EULA terminate automatically without notice if you fail to comply with any term. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Becki may also terminate your license under Section 14 of the Terms of Service. Sections 2, 3, 5, 9, 10, 12, and 13 survive termination.

12. Export and U.S. government rights

You agree to comply with all applicable export laws and restrictions, including those of the U.S. Department of Commerce. You represent that you are not located in, under the control of, or a national or resident of any country to which the U.S. has embargoed goods, and that you are not on any U.S. government list of prohibited or restricted parties.

The Software is "commercial computer software" and "commercial computer software documentation" as defined in 48 C.F.R. § 12.212 and 48 C.F.R. § 227.7202. U.S. government end users acquire only those rights set forth in this EULA.

13. Governing law

This EULA is governed by the laws of [FILL-IN: governing-law jurisdiction], without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the courts identified in Section 16 of the Terms of Service.

14. Changes

Becki may update this EULA from time to time. For material changes, we will notify you in-app or by email and provide reasonable opportunity to review before the new terms apply. Your continued use of the Software after the new EULA takes effect constitutes acceptance.
